Terms of Service

We inform Users that the following Terms and Conditions apply by the mere use of or access to any of the web or mobile pages, applications, software, and related services that make up the website www.voderia.com (hereinafter, collectively and indistinctly, the “Portal”). By accessing or using the Portal, you are deemed to accept and agree to be bound by these Terms and Conditions. If you do not agree, you must refrain from accessing or using the Portal.
BIT OCEAN S.A. DE C.V. and/or its subsidiaries, affiliates, related parties, and controlling entities (hereinafter, collectively and indistinctly, the “Company”) reserve the right to modify, at their discretion, the content of the Portal at any time without prior notice.
The “User” is understood as any person who accesses or uses the Portal through a computer and/or any communication device (hereinafter, the “User”). The User agrees not to use devices, software, or any other means to interfere with the Portal’s operations, databases, or information contained therein.

1. USE AND RESTRICTIONS
Access to or use of the Portal constitutes full and unconditional adherence by the User to these Terms and Conditions. Through the Portal, the User may access and/or use various services and content (the “Services and Content”) made available by the Company.
The Company has the right to deny, restrict, or condition the User’s access to the Portal, in whole or in part, at its sole discretion, as well as to modify the Services and Content at any time without prior notice.
The User acknowledges that not all Services and Content are available in all geographic areas and that some may require prior registration, activation, or payment. The Company does not guarantee the availability or continuity of the Portal or its Services and Content, nor their suitability for any particular purpose. The Company will not be liable for any damages or losses resulting from the unavailability or discontinuity of the Portal or its Services.
Use of the Services and Content is the sole responsibility of the User, who agrees to use them according to their intended functionality and the provisions of these Terms and Conditions. The User agrees not to violate good customs, the rights of third parties, internet usage norms, or applicable laws of Mexico or of the User’s country of access. The Portal is intended for individual use, and Users may not commercialize any Services or Content in any way.

2. RESTRICTIONS
The User may not place hyperlinks within the Portal, use the Portal’s links, or reproduce Services or Content on third-party sites without prior written authorization from the Company. The User may not interfere with other Users’ access to or use of the Portal.

3. INTELLECTUAL PROPERTY
All intellectual and industrial property rights related to the Services and Content, trademarks, and domain names of the Portal are the exclusive property of the Company. The User does not acquire any rights by the mere use of or access to the Portal and may not use, reproduce, or distribute any Services or Content except as authorized herein.

4. THIRD-PARTY INTELLECTUAL PROPERTY
The provisions of Section 3 also apply to third-party rights related to Services, Content, or information presented or linked on the Portal.

5. VODERIA SERVICES
The Voderia platform specializes in the management, control, and creation of advertising campaigns through customizable automated voice calls, automated text (SMS) messages, automated email, and automated WhatsApp communications.
Voderia offers a subscription-based service granting access to these tools for segmentation and prospecting through the website www.voderia.com.

6. SUBSCRIPTIONS
Users may choose from the subscription packages available on the platform. Packages cannot be modified by the User but may be custom-built upon request if greater capacity is needed.

7. PAYMENT METHODS
To use Voderia’s service, you must provide one or more valid payment methods. You authorize us to charge your subscription to any payment method associated with your account in the event your primary method is unavailable or declined.
If a payment cannot be successfully completed and you do not cancel your account, we may suspend your access to the service until a valid payment method is provided.

8. CHANGES IN PRICES AND PLANS
We may periodically update our subscription plans and service prices. You will be notified of any price or plan change at least 30 days in advance of its effective date. If you do not accept the new pricing, you may cancel your subscription before the change takes effect.

9. BILLING
Users may request a tax invoice (CFDI) within the same month as payment.

Proof of payment for the services purchased.

10. CANCELLATIONS
Users may cancel any service or subscription at any time at their discretion and without liability.
Charges made to credit or debit cards are non-refundable, and by making such payments, the User agrees to the payment provider’s terms.

11. QUALITY AND WARRANTIES
Neither the Company nor its partners will be liable for any damages resulting from inaccuracies, errors, or periodic changes to the Portal’s Services and Content.
All recommendations obtained through the Portal are of a general nature and should not replace professional advice.
The Company provides Services and Content “as is” and “as available,” without express or implied warranties. Use of the Portal is at the User’s own risk.
The Company may remove any information from the Portal at its sole discretion and disclaims all warranties to the extent permitted by law.
The Company’s total liability, if any, shall be limited to the amount paid by the User for the Services.

12. THIRD-PARTY GOODS AND SERVICES
The inclusion of information or links to third-party sites does not imply endorsement or responsibility by the Company.
The Company is not responsible for products or services offered by third parties linked to or through the Portal.
No employment, partnership, or agency relationship exists between the Company and such third parties.

13. CONFIDENTIALITY
The Company will keep confidential any information received from Users that has such character under applicable Mexican law. The Company assumes no obligation of confidentiality for information not designated as confidential by the User.

14. USE OF NON-CONFIDENTIAL INFORMATION
By using the Portal, the User authorizes the Company to use, publish, reproduce, disclose, and transmit non-confidential information under applicable laws, including the Federal Law on the Protection of Personal Data Held by Private Parties and other relevant Mexican legislation.

15. COOKIES
By accessing the Portal, the User agrees to receive data files (“cookies”) from the Company’s servers.
Cookies may store information such as user identifiers or visited pages but cannot read data from the User’s hard drive or other websites.
Most browsers accept cookies automatically, but Users can modify browser settings at any time. Some Portal features may not function correctly if cookies are disabled.

16. PRIVACY NOTICE
All information collected from Users is treated confidentially according to Mexican law.

17. ACCESS KEYS
The User is solely responsible for maintaining the confidentiality of any access credentials used to reach certain Services or Content on the Portal.

18. ACCOUNTS
By creating an account, the User declares to be at least 18 years of age (or of legal majority in their jurisdiction). The User acknowledges that all activity conducted under their account is their responsibility and that they understand and accept these Terms of Service and the Privacy Notice.

19. MODIFICATIONS
The Company reserves the right to modify these Terms at any time without prior notice.
Users must review the Terms each time they use the Portal.
Certain Services or Content may have additional terms that complement or modify these Terms; Users should review those before accessing such Services.

20. CLASS ACTION WAIVER
To the extent permitted by applicable law, both you and Voderia agree that any claims must be brought individually and not as part of a class or representative action. Unless both parties agree otherwise, no court may consolidate claims of multiple individuals.

21. FORCE MAJEURE
In case of system failure due to power outages, earthquakes, or other natural disasters, the platform will make reasonable efforts to restore service promptly.
However, the Company will not be responsible for data loss or service interruptions caused by events beyond its control. Users are encouraged to back up their data and prepare for potential service disruptions.

22. GOVERNING LAW AND JURISDICTION
For interpretation and enforcement of these Terms, the User agrees that the Federal Laws of Mexico and the courts of Ensenada, Baja California shall have jurisdiction, expressly waiving any other venue that may apply.
